Company Name: Global Crossing Ltd. Global Crossing Limited, or “New GCL,” was formed as an exempt company with limited liability under the laws of Bermuda in 2003. Global Crossing Ltd., a company formed under the laws of Bermuda in 1997 (“Old GCL”), and a number of its subsidiaries (collectively, the “GC Debtors”) had commenced cases under chapter 11 of title 11 of the United States Code (the “Bankruptcy Code”) in the United States Bankruptcy Court for the Southern District of New York (the “Bankruptcy Court”). On December 9, 2003, the joint plan of reorganization of the GC Debtors (the “Plan of Reorganization”) became effective (the “Effective Date”) and pursuant to the Plan of Reorganization Old GCL transferred substantially all of its assets to New GCL. New GCL thereby became the parent company of the Global Crossing consolidated group of companies and succeeded to Old GCL’s reporting obligations under the Securities Exchange Act of 1934, as amended (the “Exchange Act”).
