Definition(s) for VOTING RIGHTS:


1. ) the rights of holders of preferred and common stock in a company to vote on certain acts affecting the company. These matters may include payment of dividends, issuance of a new class of stock, merger or liquidation.

2. ) The entitlement of ordinary shareholders to vote in person or by proxy at annual meetings or annual general meetings.

3. ) The portion of the voting rights of all of the Certificates that is allocated to any Certificate.??As of any date of determination, (a) 10f all Voting Rights shall be allocated to each Holder of the Notional Amount Certificates (the Voting Rights to be allocated among the holders of the Certificates of each Class in accordance with their respective Percentage Interests), (b) 10f all Voting Rights shall be allocated to the Holder of the Class A-R Certificates and (c) the remaining Voting Rights shall be allocated among Holders of the remaining Classes of Senior and Subordinated Certificates in proportion to the Certificate Balances of the respective Certificates on the date.
